We reserve the right, at our sole discretion, to update, modify, or replace any part of these Terms and Conditions at any time without prior notice. It is your responsibility to check this page periodically for changes. Your continued use of the Software following the posting of any changes constitutes acceptance of those changes.

General Conditions

Subject to your compliance with these terms and full payment, Smart HR Software grants you a non-exclusive, non-transferable, non-sublicensable, perpetual license to install and use one copy of the Software for your internal business purposes on a single domain name and its associated web hosting environment. This license is for the specific Software version delivered at the time of purchase and does not include any rights to future updates, upgrades, or new versions.

"As-Is" Basis: The Software and any services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Smart HR Software disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Software will be uninterrupted, secure, error-free, or free from harmful components.

Your Sole Risk: You acknowledge that your use of the Software, including any reliance on any data, report, or functionality, is solely at your own risk. You are solely responsible for verifying the accuracy of outputs and for maintaining independent backups of all your data, configurations, and customizations.

Limitation of Liability: To the maximum extent permitted by law, in no event shall Smart HR Software, its directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses, that result from the use of, inability to use, or unauthorized use of the Software. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

Support, Maintenance, and Updates

Technical support, maintenance, and access to updates or compatibility fixes are not included with your perpetual software license. Following the delivery of the software, Smart HR Software is under no obligation to provide any assistance. Technical support services are exclusively available to customers with a separately purchased and active support plan. Support is provided solely via our designated support ticket system and email.

Refund Policy

All sales are final, non-refundable, and non-creditable under any and all circumstances. By completing your purchase, you explicitly acknowledge and agree that you forfeit any right to a refund upon confirmation of your order. The digital and self-hosted nature of the Software, which is installed within your own third-party hosting environment, renders it impossible to return or de-license. We provide a comprehensive free demo for full evaluation, and it is your non-delegable responsibility to verify the Software's compatibility and suitability for your needs prior to purchase. No exceptions to this policy will be made.

User Responsibilities & Restrictions

Prohibited Actions. You agree not to, and will not permit others to:
a) Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Software without our express written permission.
b) Modify, reverse engineer, decompile, disassemble, or create derivative works of the Software.
c) Use the Software for any illegal or unauthorized purpose.

Data Security. As a self-hosted solution, you are solely responsible for the security, integrity, backup, and legal compliance of all data processed by the Software on your servers.

Termination

We reserve the right to terminate your software license immediately, without liability or refund, if you breach any of these Terms. Upon termination, you must cease all use of the Software and permanently delete all copies from your systems. Verbal, physical, written, or other abuse (including threats of abuse or retribution) of any Smart HR Software customer, employee, member, or officer will result in immediate termination.
